1.          NON CONFLICT OF INTEREST AND NO EXTERNAL EMPLOYMENT

The Employee shall not, during the employment with the Company, except with the specific approval of the Company, undertake any other work for remuneration or work which would constitute a conflict of interest with the business of the Company or adversely affect his/her professional image and integrity as an officer or employee of the Company during his service with the Company. Neither the Employee shall hold himself out nor allow himself to be held out in any way as having any other position or designation other than the one given to the Employee by the Company.

 

2.          RECEIPT OF PAYMENTS AND BENEFITS FROM THIRD PARTIES

Subject to any  written regulations issued by  the  Company which may  be applicable, neither the Employee nor any member of his family, nor    any company or business entity in which the Employee or they have an interest are entitled to receive or obtain directly or indirectly any payment, discount, rebate, commission or other benefit from third parties in respect of any business transacted (whether or not) by the Employee  on behalf of the Group or any associated company and if the Employee, any member of the Employee’s family or any company or business entity   in which the Employee or they have an interest, directly or indirectly, obtains any such payment, discount, rebate, commission or other benefit, the Employee shall forthwith account to the Company or the relevant associated company for the amount received of the value of the benefit so obtained.
